State Street, the world’s fourth-largest asset manager, is making a major bet on Groww AMC. Groww is set to onboard the global asset management giant as a strategic investor in its mutual fund business, marking a significant milestone in the expansion of its asset management arm.
According to a regulatory filing, Groww has entered into definitive agreements with US-based State Street Global Advisors Inc, which will invest in Groww Asset Management, the company’s wholly owned subsidiary and investment manager for Groww Mutual Fund.
Structure of the Investment
Under the proposed transaction, State Street Global Advisors will invest up to Rs. 580 crore in Groww AMC through a combination of secondary share purchases and a primary subscription of new shares.
The transaction involves secondary share purchases worth Rs. 381 crore and a subscription to primary capital worth Rs.199 crore, according to a regulatory filing. The deal will result in up to a 23 percent dilution of Groww AMC’s existing stake.
After the transaction, State Street’s voting power in Groww AMC will be capped at 4.99%, ensuring compliance with regulatory norms for asset management companies while still allowing the global fund house to participate economically in the business. Additionally, Groww AMC and State Street will enter into a separate strategic relationship agreement, which will come into effect on a mutually agreed-upon date.
Transaction Timeline
The proposed transaction is expected to close within six months from the date of the agreement, or by another date mutually agreed upon by the company and the buyer, subject to the receipt of necessary regulatory and other approvals, the company said in its announcement.

Groww announced that its collaboration with SSIM will allow the company to leverage expertise in quantitative and passive (index) investment management strategies. The partnership is also expected to strengthen Groww’s balance sheet, enabling the firm to pursue its next phase of growth and expansion.
According to Groww’s co-founder, Harsh Jain, the partnership opens up multiple possibilities. “One potential opportunity is for State Street’s distribution network to offer our products,” he said. “However, this is an avenue we will explore as and when the demand arises.”
Boost to Groww AMC and Future Growth
The investment is anticipated to provide Groww AMC with additional capital to scale up its mutual fund operations, enhance investment capabilities, and develop long-term products for Indian investors. The strategic collaboration is also expected to facilitate knowledge sharing, adoption of global best practices, and potential product collaborations in the future.
